Welcome to Clarity. The Clarity application, software, website, as well as any other related services or products (each, a “Service” and collectively, the “Services”) are provided by Pracee Global Ventures, a company registered in the State of Wyoming, United States. Pracee Global Ventures, its affiliated companies and partners are referred to collectively in these Terms of Service (“Terms”) as “Clarity”, “we”, "us" or “our”. “You” “your” and “user(s)” refer to any person using the Services.
These Terms govern your use of the Services, regardless of how you access them, whether by computer, mobile device or otherwise; and whether directly through our Services, or through any third-party website that links to them, and regardless of whether you are a registered user or unregistered user.
These Terms are a legally binding agreement between you and us. By using, registering for or accessing the Services, you confirm that you have read, understood and agreed to these Terms and any other documents referred to herein, including without limitation, our Privacy Policy. If you do not agree to these Terms, you are not authorized to use the Services and you must cease all such use immediately.
ARBITRATION NOTICE: UNLESS YOU OPT OUT OF ARBITRATION WITHIN 30 DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS BY FOLLOWING THE OPT-OUT PROCEDURE SPECIFIED IN THE "DISPUTE RESOLUTION" SECTION BELOW, AND EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE "DISPUTE RESOLUTION" SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND CLARITY WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
1. Eligibility
You must be at least 13 years old to use our Service. If you are under the age of majority in your jurisdiction (usually 18), you must have the express permission and consent from a parent or legal guardian to access and use the Services. By accessing or using the Services, you affirm that you are either 18 years of age or older, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms.
2. User Account
You may access or use the Services either as a registered user or unregistered user. If you are a registered user, you need to create an account to use the Services. The information you provide should be accurate and complete. It is your responsibility to update your account information to keep it current and accurate.
You agree not to use the account, username, or password of another user at any time, nor to knowingly or recklessly disclose your password to any third party. You agree to notify Clarity immediately via support@claritystudy.app if you suspect any unauthorized use of your account.
We may allow you to register for and log in to Clarity using log-in functionalities provided by third-party platforms, such as Apple or Google. You agree to comply with the relevant third-party platform’s terms of service applicable to your use of such functionalities.
3. Proprietary Rights
Unless otherwise explicitly specified by Clarity, all materials that are included in or otherwise a part of the Services, including past, present, and future versions of Clarity, domain names, source and object code, text, site design, logos, graphics, icons, and "Clarity Content" (including AI-generated summaries and quizzes), are owned, controlled, or licensed by Pracee Global Ventures.
4. License to Use
Subject to your compliance with these Terms, Clarity grants you a limited, non-sublicensable, non-exclusive, non-commercial, revocable and non-transferable license to use the Services. You may only use the Services for your own personal use and must not use the Services in a commercial context.
Restrictions: You agree not to:
View, copy, or procure content or information from the Services by automated means (scripts, bots, spiders, crawlers, or scrapers).
Reverse engineer, modify or attempt to discover any source code associated with the Services.
Use the Services to train other AI models or machine learning algorithms.
5. User Content
When you use the Services, you may upload, generate, or submit User Content. “User Content” means any content provided by you, such as PDF files, PowerPoints, Word documents, Audio recordings, Video recordings, Image snapshots, and text inputs.
Ownership: You retain ownership of your User Content.
License to Clarity: By submitting User Content, you grant Clarity a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content solely for the purpose of operating, developing, providing, and improving the Services. This includes processing your files to generate summaries, quizzes, flashcards, and transcripts.
Representations: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to authorize Clarity to use your User Content as necessary to exercise the licenses granted by you in this section.
6. YouTube Integration
Our Services allow you to upload or import YouTube links and playlists to create folders in the file manager. By using these features, you are agreeing to be bound by the YouTube Terms of Service (Terms of Service ). You also acknowledge that Clarity uses YouTube API Services to provide this functionality.
7. AI Features and Disclaimer
Clarity utilizes Artificial Intelligence (AI) to provide features such as the AI Tutor, Study Plans, Summaries, Quizzes, and Chat with Documents.
Accuracy: AI systems are probabilistic and can make mistakes ("hallucinations"). Summaries, quiz answers, and explanations generated by Clarity may not always be accurate or complete. You should verify important information with your original documents or other trusted sources.
No Professional Advice: The AI Tutor provides educational support only and does not constitute professional advice.
Study Plans: Dynamic study plans are generated based on algorithms analyzing your performance. These are suggestions, and you remain responsible for managing your own academic schedule and deadlines.
8. Gamification and Virtual Items
The Services include gamification features such as "XP" (Experience Points), "Streaks," and "Achievements."
No Monetary Value: These virtual items have no real-world monetary value, do not constitute currency or property, and cannot be sold, transferred, or exchanged for "real" money or "real" goods from us or any third party.
Modifications: We may modify, suspend, or terminate your ability to earn or use these virtual items at any time.
9. Academic Integrity
Clarity is designed as a study aid to complement your educational journey.
Not a Cheating Tool: You agree not to use the Services to violate the academic integrity policies of your school, university, or institution. This includes using the app to generate answers for exams or assignments where such use is prohibited.
User Responsibility: You are solely responsible for ensuring your use of Clarity complies with your institution's code of conduct.
10. Prohibited Conduct
You agree not to upload User Content that:
Is illegal, threatening, defamatory, or obscene.
Infringes on the intellectual property rights of others (e.g., uploading entire textbooks you do not own).
Contains viruses or malicious code.
11. Premium Services and Payment
Subscriptions: Some features may be available only through a paid subscription ("Premium Services").
Billing: If you purchase a subscription via a third-party app store (Apple App Store or Google Play), your payment and subscription management (including cancellation) are subject to that third party’s terms.
Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.
Refunds: Refund requests for purchases made through third-party app stores must be directed to the respective store (Apple or Google).
12. Copyright Infringement (DMCA Notice)
Clarity respects the intellectual property rights of others. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond to valid notices of alleged infringement.
If you believe that your work has been copied in a way that constitutes copyright infringement by a user of Clarity, please provide our Copyright Agent with the following information:
A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
Identification of the copyrighted work claimed to have been infringed.
Identification of the material that is claimed to be infringing and where it is located on the Service.
Your contact information (address, telephone number, and email).
A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

13. Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PRACEE GLOBAL VENTURES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRACEE GLOBAL VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
14. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Wyoming, without respect to its conflict of laws principles.
Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Wyoming before one arbitrator. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
15. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms and, where appropriate, through the App. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
